The complaint highlights that this loss was driven by a $603.2 million loss on interest rate derivatives. During an earnings call on August 5, CEO Mat Ishbia acknowledged that the company was “over-hedged” specifically as a protective measure for the Two Harbors transaction.
The market reaction to these disclosures was severe. Following the earnings report, UWM’s stock price dropped $0.64, closing at $1.20 on August 6—a decline of 34.78% on heavy volume. The lawsuit argues that this precipitous fall reflects the realization of the previously undisclosed risks. The class period cited in the complaint spans from March 9 through August 5. The proposed acquisition of Two Harbors, valued at $1.3 billion, was terminated in March after the target entity received a competing cash proposal from CrossCountry Mortgage. UWM had sought to acquire Two Harbors to nearly double its mortgage servicing book. Defendants named in the suit include the corporate entity as well as executives Ishbia and CFO Rami Hasani.
