KKR Commits $608 Million to Joint Venture on Realty Income’s European Net-Lease Portfolio
KKR is deepening its European real estate footprint through a new joint venture with Realty Income, the S&P 500 net-lease REIT, the two firms announced Monday.
Under the agreement, KKR will invest $608 million (528 million euros) to acquire a 49% interest in a 54-property portfolio spanning Spain, Ireland, Poland and the Netherlands. Realty Income will retain a 51% stake and continue managing the assets. Net-lease arrangements of this kind typically place costs such as maintenance, insurance and property taxes on tenants in exchange for reduced rents.
The portfolio comprises 54 properties totaling 140 units, leased to tenants across grocery retail, transportation services, home improvement and automotive parts supply. The deal reflects a 5.9% initial cap rate with an average lease term of seven years. The joint venture is structured to run for at least 17 years, with closing expected by the end of this month.
Seb d’Avanzo, co-head of European real estate equity at KKR, pointed to Realty Income’s scale as one of the world’s largest net-lease REITs, with a global portfolio exceeding 15,000 properties, and characterized the European assets as hard-to-replace holdings in key markets supported by solid underlying fundamentals.
Realty Income CEO Sumit Roy framed the transaction as a milestone in the company’s push to build a global net-lease platform, saying the long-term cost and structure of the equity financing create upside for shareholders while diversifying capital sources beyond public markets. For a REIT with a market capitalization of roughly $56.3 billion, the private capital raise offers an alternative funding channel at a time when equity markets have been uneven — shares of Realty Income traded at $59.28 in recent action, down about 1% from the prior close of $59.88.
The move also underscores continued private-equity appetite for European commercial real estate, particularly stabilized, income-generating assets that can be acquired at meaningful cap rates relative to U.S. equivalents. KKR has been an active buyer in the region, and partnering with an established net-lease operator allows it to gain exposure while leaving day-to-day asset management with Realty Income.
Realty Income, founded in 1969 and focused on retail-sector net-lease real estate, held more than 15,500 properties across all 50 U.S. states as of June 30, 2026, alongside its growing international holdings. The company has increasingly pursued European expansion, and the KKR venture provides a template for scaling that presence without fully funding acquisitions on its own balance sheet.
What to watch
- Completion of the transaction, expected by the end of this month.
